- Deposits
Deposits are used to reserve project resources, begin planning, allocate development time, and start work.
Unless otherwise stated in writing, deposits may be non-refundable once work has started, resources have been allocated, or project planning has begun.
If a customer cancels a project after work has started, CAXEMAIL may retain the deposit and charge for any work completed, time spent, third-party costs, or committed resources.
- Invoices and Late Payments
Invoices must be paid by the due date stated on the invoice.
If payment is late, CAXEMAIL may:
- Pause project work
- Delay delivery
- Suspend support services
- Disable access to unpaid deliverables where legally permitted
- Charge late fees where legally permitted
- Require payment before continuing work
- Terminate the service agreement

The customer remains responsible for all unpaid fees, approved expenses, third-party costs, and costs associated with collecting overdue payments where legally permitted.
- Refund Policy
Because CAXEMAIL provides custom digital services, software development, consulting, technical integration, and labor-based work, payments are generally non-refundable once work has begun.
Refunds may not be available for:
- Completed work
- Work already performed

- Project planning
- Custom development

- Monthly support already provided

The project scope will be defined in the proposal, statement of work, invoice, email confirmation, or service agreement.

- Hosting or server issues outside our control
- Payment delays
- Changes in project scope
- Incomplete customer instructions
- Force majeure events
- Security incidents affecting customer systems
- External vendor delays
- Customer Approval
Customers are responsible for reviewing and approving deliverables.
If the customer does not provide feedback within a reasonable period after delivery, the deliverable may be considered accepted unless otherwise agreed in writing.
Once a deliverable is approved, later changes may require additional fees.
- Intellectual Property
13.1 Customer Materials
Customers retain ownership of materials they provide to CAXEMAIL, including logos, brand assets, content, data, documents, images, videos, existing code, existing websites, and existing systems.
The customer grants CAXEMAIL permission to use such materials only as needed to provide the agreed services.
13.2 CAXEMAIL Materials
CAXEMAIL retains ownership of its pre-existing tools, templates, frameworks, internal methods, know-how, processes, documentation, code libraries, reusable components, workflows, and development techniques.
Unless otherwise agreed in writing, CAXEMAIL may reuse general knowledge, ideas, techniques, frameworks, and non-confidential components developed through providing services.
13.3 Project Deliverables
Ownership of final custom deliverables may transfer to the customer only after full payment has been received, unless otherwise stated in a written agreement.
Until full payment is received, CAXEMAIL retains ownership and rights to unpaid deliverables.
13.4 Portfolio Use
Unless the customer requests otherwise in writing, CAXEMAIL may reference completed work in a general portfolio, case study, or business presentation, provided that confidential information is not disclosed.
- Third-Party Services
Our services may involve third-party platforms, tools, APIs, software, hosting providers, payment processors, email platforms, analytics tools, or other vendors.
Customers are responsible for:
- Third-party fees
- Third-party terms of service
- Account setup
- Platform approvals
- API access
- Platform limitations
- Compliance with third-party policies
- Maintaining account ownership
- Providing accurate third-party account information
CAXEMAIL is not responsible for outages, errors, pricing changes, policy changes, account suspensions, API limitations, data loss, or service interruptions caused by third-party providers.
- Email Marketing Compliance
If CAXEMAIL provides email marketing technology, campaign setup, automation, email templates, list management support, or related services, the customer is responsible for ensuring that all email marketing activities comply with applicable laws and regulations, including but not limited to anti-spam, privacy, consent, and consumer protection requirements.
The customer agrees that:
- Email lists must be legally obtained
- Recipients must have proper consent where required
- Unsubscribe mechanisms must be respected
- Content must not be misleading or unlawful
- Sender information must be accurate
- The customer is responsible for claims, offers, and representations in marketing messages
- CAXEMAIL is not responsible for customer misuse of email systems
- Data and Privacy Compliance
Customers are responsible for ensuring that any data provided to CAXEMAIL has been collected and shared lawfully.
Customers must not provide sensitive, regulated, or restricted data unless specifically agreed in writing and legally permitted.
Customers are responsible for complying with applicable data protection laws, privacy laws, anti-spam laws, and industry requirements.
- Security
CAXEMAIL may provide security assessment, secure infrastructure recommendations, or technical improvements. However, unless expressly agreed in writing, we do not guarantee that any system will be completely secure, error-free, immune from cyberattacks, or continuously available.
Customers are responsible for maintaining:
- Strong passwords
- Secure access controls
- Backups
- System updates
- Internal policies
- User permissions
- Compliance requirements
- Ongoing monitoring
- Security training for their own users
- Backups
Customers are responsible for maintaining independent backups of their websites, applications, databases, files, systems, and content.
CAXEMAIL may assist with backup configuration if included in the project scope, but we are not responsible for data loss unless specifically agreed in writing.
- No Guarantee of Results
CAXEMAIL may provide business performance optimization, email marketing technology, software tools, automation, consulting, or technical support. However, we do not guarantee specific business results, revenue increases, ROI, customer acquisition, search rankings, email deliverability rates, conversion rates, approval by third-party platforms, or financial outcomes unless expressly stated in a written agreement.
Results may depend on customer business model, market conditions, content quality, customer behavior, platform rules, budget, implementation, competition, and third-party systems.
- Support and Maintenance
Support and maintenance services are provided only if included in the applicable plan, invoice, or service agreement.
Support may include:
- Bug fixes
- Minor updates
- Technical troubleshooting
- Monitoring
- Consultation
- System improvements
- API issue review
- Email or website support
Support does not include major new features, redesigns, new integrations, emergency development, large-scale migration, or work outside the agreed scope unless separately approved and paid.

To the maximum extent permitted by law, CAXEMAIL, MEIKGEFA LLC, its owners, employees, contractors, partners, and service providers will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to lost profits, lost revenue, lost data, business interruption, loss of goodwill, system downtime, or third-party platform issues.
Our total liability for any claim related to the services will not exceed the amount paid by the customer to CAXEMAIL for the specific service giving rise to the claim during the three months before the claim arose.
- Disclaimer of Warranties
Our website and services are provided on an “as is” and “as available” basis unless otherwise agreed in writing.
We do not guarantee that:
- The website will always be available
- Services will be uninterrupted or error-free
- Third-party platforms will function correctly
- All bugs can be fixed
- Specific business results will be achieved

Upon termination, the customer remains responsible for all fees owed for work completed, committed resources, third-party costs, and unpaid invoices.
- Force Majeure
CAXEMAIL will not be responsible for delays or failure to perform caused by events outside our reasonable control, including natural disasters, war, terrorism, labor disputes, internet outages, cyberattacks, government action, third-party platform failure, power outage, pandemic, civil unrest, or other force majeure events.
- Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the State of California, United States, unless otherwise required by applicable law or agreed in writing.
- Dispute Resolution
If a dispute arises, both parties agree to first attempt to resolve the matter through good-faith communication.
